1. Acceptance of Terms

By using NileMart, you agree to these legally binding terms. This agreement governs your use of our entire platform, including our website and apps.

Welcome to NileMart. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Nile Mart LLC ("NileMart," "we," "us," or "our") governing your access to and use of our multi-vendor marketplace platform, including our websites, mobile applications, and all related services (collectively, the "Platform").

2. User Accounts and Responsibilities

You are responsible for your account's security and all activities conducted through it. You must be at least 18 to use our services.

You must be at least 18 years old to use the Platform. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate information and to refrain from engaging in prohibited activities such as fraud, intellectual property infringement, harassment, or the sale of counterfeit or illegal goods.

3. Seller and Brand Terms

Sellers are independent businesses responsible for their products, listings, and order fulfillment. We provide a process for brands to claim and manage their official presence on NileMart.

3.1. Seller Obligations: Sellers on NileMart are independent third-party businesses. Sellers are solely responsible for the accuracy, legality, quality, and pricing of their product listings. Sellers must adhere to all NileMart policies, fulfill orders in a timely and professional manner, manage their own inventory, and handle customer service inquiries related to their products.

3.2. Brand Registry: We provide a mechanism for official brand owners to claim and manage their brand's presence on the Platform. This includes controlling product listings associated with their brand. Unauthorized use of a brand's trademarks or intellectual property is strictly prohibited and may result in the termination of the offending account.

4. Platform Moderation and AI Enforcement

We use advanced systems, including AI, to monitor the platform for policy violations. We reserve the right to remove content, suspend listings, or terminate accounts to maintain a safe and trustworthy marketplace.

To protect the integrity of our Platform and its users, we utilize automated systems, including artificial intelligence, to monitor content, detect potential fraud, and enforce our policies. You agree that NileMart has the sole discretion to review, moderate, or remove any content, listing, or account that we determine violates these Terms, infringes on intellectual property rights, or is otherwise harmful to our community, with or without prior notice.

5. Orders, Payments, and Disputes

All payments are securely processed. NileMart facilitates transactions but is not the seller of record for items sold by third-party sellers. We provide tools to help resolve buyer-seller disputes.

All transactions on the Platform are processed through our secure third-party payment gateways (e.g., AutoPay). While NileMart facilitates these transactions, it is not the seller of record for items sold by third-party sellers. We reserve the right to hold payments or reverse transactions if we suspect fraudulent activity. In case of disputes between Buyers and Sellers, our Platform provides a resolution mechanism, but we do not guarantee a specific outcome.

6. Intellectual Property

We own the NileMart brand and platform. You own the content you upload, but you grant us a license to use it to operate and promote the marketplace.

The NileMart name, logo, and all related platform software and content are the exclusive property of Nile Mart LLC. By uploading content (such as product images, descriptions, and brand logos), you represent that you have the right to do so, and you grant NileMart a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content on the Platform and for marketing purposes.

7. Disclaimers and Limitation of Liability

We provide the Platform "as is." Our liability is strictly limited to the maximum extent permitted by Sudanese law. We are not liable for the actions of third-party sellers or for any indirect damages.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. NILEMART MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE OPERATION OF THE PLATFORM OR THE INFORMATION, CONTENT, MATERIALS, OR PRODUCTS INCLUDED ON IT. YOU EXPRESSLY AGREE THAT YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK.

TO THE FULLEST EXTENT PERMISSIBLE BY LAW, NILEMART, ITS OFFICERS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF THIS PLATFORM, INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT OF FEES, IF ANY, PAID BY YOU TO NILEMART IN THE 12 MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify, defend, and hold harmless Nile Mart LLC and its affiliates, officers, and employees from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of these Terms, your violation of any law or the rights of a third party, or your use of the Platform.

9. Termination

We reserve the right to suspend or terminate your account and access to the Platform at our sole discretion, without notice, for any conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

10. Governing Law and Jurisdiction

All legal matters will be handled under the laws of Sudan and within the competent courts of Khartoum.

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of Sudan, without regard to its conflict of law provisions. You agree that the competent courts of Khartoum, Sudan, shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms.

11. Amendments

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.
